Key responsibilities
- Drafting, reviewing, and negotiating commercial and IT contracts, including SaaS, software licensing, cloud services, data processing agreements (DPAs).
- Managing corporate law matters, including drafting minutes, preparing notices, and supporting shareholders’ and board meetings.
- Supporting corporate governance activities and maintaining accurate corporate records.
- Advising on data protection and compliance matters, including GDPR, ROPA, and regional frameworks in the EU and Latin America.
- Providing legal support on intellectual property (IP) issues, including licensing, software protection, and technology transfer.
- Conducting legal research and preparing reports on corporate, IT, and regulatory issues.
- Coordinating with internal stakeholders and external counsel to ensure compliance and mitigate risks.
Qualifications
- Law degree (completed).
- 0–2 years of experience in drafting and reviewing commercial and IT contracts.
- Strong knowledge of contract law with focus on IT services, software licensing, SaaS, and digital platforms.
- Familiarity with corporate law and corporate governance requirements.
- Basic knowledge of data protection laws (GDPR, Latin American frameworks) and experience with drafting or reviewing data processing agreements.
- Understanding of intellectual property rights related to software, platforms, and digital products.
- Excellent drafting and negotiation skills, with ability to adapt to technical and business requirements.
- Intermediate to advanced English proficiency (legal drafting and negotiation).
- Proficiency with Microsoft Office and digital tools for contract management.
